These Terms of Use ("Terms") are a legal agreement between you and SOFX Inc. ("SOFX," "we," "us," or "our") governing your use of sofx.com, The SOFX Report, SOFX PRO, and related services (together, the "Services"). By subscribing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services and to purchase a SOFX PRO membership. By using the Services, you represent that you meet this requirement.
SOFX publishes a daily newsletter and related content covering conflict, security, and technology. We offer a free edition (The SOFX Report) and a paid membership (SOFX PRO / The SOFX Report Pro Edition) with additional content and benefits. We may change, add, or discontinue features at any time.
You are responsible for the information you provide, for keeping your account credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
Authorization. By purchasing a membership, you authorize us and our payment processor, Stripe, to charge your payment method for the then-current fee and any applicable taxes. “
Automatic renewal. Memberships renew automatically at the end of each billing period (monthly or annual) at the then-current price, until you cancel. By subscribing, you provide affirmative consent to this automatic renewal.
Price changes. We may change subscription prices. We will give you advance notice, and changes apply to the next billing period. Continuing your membership after the change means you accept the new price.
Taxes. You are responsible for any applicable sales, use, or similar taxes.
How to cancel. You can cancel at any time from your account settings or by emailing [email protected]. Cancellation stops the next renewal.
Effect of cancellation. When you cancel, you keep access to SOFX PRO through the end of the current paid period, and you will not be charged again.
Refunds. All fees are non-refundable except where required by law. Cancellation stops future charges but does not refund the current period.
Auto-renewal rights. Residents of states with automatic-renewal laws (including California) have additional cancellation rights, which we honor.
You agree not to:
Copy, resell, republish, or redistribute our content except as expressly allowed.
Use the Services for unlawful purposes or to infringe others' rights.
Scrape, data-mine, or use automated systems to access the Services without our written permission.
Interfere with or disrupt the Services or attempt to gain unauthorized access.
Use our content to train machine-learning or AI models without our written permission.
The Services and all content, including text, graphics, logos, and the SOFX name and marks, are owned by SOFX or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable license to access and read our content for your own non-commercial use. All rights not expressly granted are reserved. You may forward individual editions to others for personal, non-commercial purposes, but you may not systematically redistribute our content.
If you send us replies, survey responses, comments, or other content, you grant SOFX a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with the Services. Do not send us anything you do not have the right to share. We may use feedback without obligation to you.
SOFX content, including any Financial Intelligence segment or special reports, is provided for general informational purposes only. It is not financial, investment, legal, security, or other professional advice, and it is not a recommendation to take any action. You are responsible for your own decisions and should consult a qualified professional where appropriate.
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
To the fullest extent permitted by law, SOFX and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid to SOFX in the 12 months before the claim or $100.
You agree to indemnify and hold harmless SOFX from claims, damages, and expenses arising out of your use of the Services or your violation of these Terms.
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive.
Governing law. These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules.
Informal resolution. Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Arbitration and class-action waiver. Any dispute that cannot be resolved informally will be settled by binding arbitration on an individual basis. You and SOFX waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected].
Venue. For any dispute that is not subject to arbitration, the dispute will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to their jurisdiction.
We may update these Terms from time to time. We will post the updated version with a new effective date, and, where required, notify you. Continued use of the Services after changes means you accept them.
These Terms, together with the Privacy Policy, are the entire agreement between you and SOFX regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
